Client Service Agreement

1. Booking & Payment / বুকিং ও পেমেন্ট

English: The project is confirmed after acceptance of this agreement and receipt of the 50% advance payment. The remaining 50% must be paid before delivery of the final high-resolution files, unless otherwise agreed in writing.

বাংলা: এই চুক্তি গ্রহণ এবং ৫০% অগ্রিম পেমেন্ট পাওয়ার পর প্রজেক্টটি নিশ্চিত বলে গণ্য হবে। লিখিতভাবে ভিন্ন কোনো সমঝোতা না থাকলে, চূড়ান্ত High-Resolution ফাইল ডেলিভারির আগে বাকি ৫০% পরিশোধ করতে হবে।

2. Scope of Work / কাজের পরিধি

English: Only the services and deliverables specifically stated in this agreement are included in the agreed project fee. Additional work, extra shoot hours or days, additional locations, or new deliverables may require additional charges.

বাংলা: এই চুক্তিতে স্পষ্টভাবে উল্লেখিত Service ও Deliverables-ই নির্ধারিত Project Fee-এর অন্তর্ভুক্ত। অতিরিক্ত কাজ, অতিরিক্ত Shoot Hour/Day, অতিরিক্ত Location অথবা নতুন Deliverable-এর জন্য অতিরিক্ত চার্জ প্রযোজ্য হতে পারে।

3. Revisions — Maximum 2 Free Revisions / রিভিশন — সর্বোচ্চ ২টি ফ্রি রিভিশন

English: The client is entitled to a maximum of two (2) free revision rounds within the originally approved scope and brief. Any revision requested after the two free rounds, or any request that substantially changes the approved concept, brief, script, structure, or deliverables, may be treated as additional work and charged separately. Revision requests should be provided clearly and, where practical, consolidated into one feedback list per round.

বাংলা: মূল অনুমোদিত Scope ও Brief-এর মধ্যে Client সর্বোচ্চ দুই (২) Round Free Revision পাবেন। দুইটি Free Revision শেষ হওয়ার পর যেকোনো অতিরিক্ত Revision অথবা অনুমোদিত Concept, Brief, Script, Structure বা Deliverables-এ বড় ধরনের পরিবর্তন অতিরিক্ত কাজ হিসেবে গণ্য হতে পারে এবং এর জন্য আলাদা চার্জ প্রযোজ্য হতে পারে। সম্ভব হলে প্রতিটি Revision Round-এর Feedback একসাথে ও স্পষ্টভাবে প্রদান করতে হবে।

4. Rescheduling & Cancellation / সময় পরিবর্তন ও বাতিল

English: Client-requested rescheduling is subject to crew, equipment, and schedule availability. Reasonable notice should be provided. Costs already incurred or non-recoverable third-party expenses may be deducted from refundable amounts or carried forward to a rescheduled project, as applicable.

বাংলা: Client-এর অনুরোধে Schedule পরিবর্তন Crew, Equipment এবং সময়ের Availability-এর উপর নির্ভর করবে এবং যথাসম্ভব আগে জানাতে হবে। ইতোমধ্যে হওয়া খরচ বা ফেরতযোগ্য নয় এমন Third-Party Expense প্রযোজ্য ক্ষেত্রে Refund থেকে সমন্বয় করা হতে পারে অথবা Rescheduled Project-এ Carry Forward করা হতে পারে।

5. Client Responsibilities / ক্লায়েন্টের দায়িত্ব

English: The client is responsible for providing timely access, permissions, products, locations, brand assets, accurate information, approvals, and feedback required to complete the project.

বাংলা: প্রজেক্ট সম্পন্ন করার জন্য প্রয়োজনীয় Access, Permission, Product, Location, Brand Asset, সঠিক তথ্য, Approval এবং Feedback সময়মতো প্রদান করা Client-এর দায়িত্ব।

6. Delivery Timeline / ডেলিভারি সময়সীমা

English: The agreed delivery timeline is based on timely cooperation from the client. Delays in receiving materials, feedback, approvals, access, or payments may result in a corresponding extension of the delivery date.

বাংলা: নির্ধারিত Delivery Timeline Client-এর সময়মতো সহযোগিতার উপর নির্ভরশীল। Material, Feedback, Approval, Access অথবা Payment পেতে দেরি হলে Delivery Date-ও সেই অনুযায়ী পরিবর্তিত হতে পারে।

7. Raw & Project Files / র-ফাইল ও প্রজেক্ট ফাইল

English: Raw footage, unedited photographs, source files, and editable project files are not included unless they are specifically listed as deliverables or separately agreed in writing.

বাংলা: Raw Footage, Unedited Photograph, Source File এবং Editable Project File Deliverables-এর মধ্যে স্পষ্টভাবে উল্লেখ না থাকলে অথবা আলাদাভাবে লিখিত সমঝোতা না হলে এগুলো Project Delivery-এর অন্তর্ভুক্ত নয়।

8. Usage & Portfolio / ব্যবহার ও পোর্টফোলিও

English: The client may use the final approved deliverables for the agreed purpose. Troibindu Productions may showcase completed work in its portfolio, website, social media, showreel, or promotional materials unless a separate confidentiality or non-disclosure agreement prohibits such use.

বাংলা: Client চূড়ান্ত অনুমোদিত Deliverables সম্মত উদ্দেশ্যে ব্যবহার করতে পারবেন। আলাদা Confidentiality বা Non-Disclosure Agreement দ্বারা নিষিদ্ধ না হলে নির্বাচিত Service Provider সম্পন্ন কাজ Portfolio, Website, Social Media, Showreel অথবা Promotional Material-এ প্রদর্শন করতে পারবে।

9. Confidentiality / গোপনীয়তা

English: Confidential information received from the client will be handled responsibly and will not be intentionally disclosed to unrelated third parties except where necessary to perform the project, with authorization, or where required by applicable law.

বাংলা: Client-এর কাছ থেকে পাওয়া Confidential Information দায়িত্বের সাথে সংরক্ষণ করা হবে এবং Project সম্পন্ন করার প্রয়োজন, অনুমোদন অথবা প্রযোজ্য আইনের বাধ্যবাধকতা ছাড়া অপ্রাসঙ্গিক Third Party-এর কাছে ইচ্ছাকৃতভাবে প্রকাশ করা হবে না।

10. Payment Default & Legal Remedies / পেমেন্ট বকেয়া ও আইনগত ব্যবস্থা

English: The client agrees to make all payments according to the agreed payment schedule. If any amount remains unpaid after it becomes due, The selected Service Provider may suspend work, withhold final deliverables, and pursue lawful recovery of the outstanding amount. Where necessary, The selected Service Provider reserves the right to take appropriate legal action and seek remedies available under applicable law, including reasonable recovery costs where legally recoverable.

বাংলা: Client সম্মত Payment Schedule অনুযায়ী সকল পেমেন্ট পরিশোধ করতে সম্মত থাকবেন। নির্ধারিত সময়ে কোনো অর্থ বকেয়া থাকলে নির্বাচিত Service Provider কাজ সাময়িকভাবে স্থগিত রাখতে, Final Deliverables প্রদান স্থগিত রাখতে এবং বকেয়া অর্থ আইনসম্মতভাবে আদায়ের ব্যবস্থা নিতে পারবে। প্রয়োজন হলে নির্বাচিত Service Provider প্রযোজ্য আইনের অধীনে উপযুক্ত আইনগত ব্যবস্থা গ্রহণ এবং আইনত আদায়যোগ্য ক্ষেত্রে যুক্তিসঙ্গত Recovery Cost দাবি করার অধিকার সংরক্ষণ করে।

11. Acceptance / সম্মতি

English: By signing this agreement, the client confirms that the project information has been reviewed and that the client accepts the scope, 50/50 payment structure, two-free-revision policy, and the Terms & Conditions above.

বাংলা: এই Agreement-এ Signature করার মাধ্যমে Client নিশ্চিত করছেন যে তিনি Project Information পর্যালোচনা করেছেন এবং Scope, ৫০/৫০ Payment Structure, দুইটি Free Revision Policy এবং উপরের Terms & Conditions গ্রহণ করেছেন।
